Terms of Service

1. Acceptance of these terms

These Terms of Service (“Terms”) are a binding agreement between you (and the organization you represent) and 1Chime (“1Chime”, “we”, “us”) governing your use of our WhatsApp CRM and automation platform (the “Service”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. Description of the Service

1Chime provides a workspace for capturing leads, managing a CRM pipeline, connecting an official WhatsApp Business number, sending templates and broadcasts, automating replies with AI bots, and sending email. Features, limits and availability may change as we improve the Service.

3. Accounts & eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for the accuracy of your account information, for keeping your credentials secure, and for all activity that occurs under your account and workspace. Notify us promptly of any unauthorized use.

4. Acceptable use

You agree not to use the Service to:

  • Send spam, unsolicited messages, or content that violates applicable law or any recipient's opt-out.
  • Infringe intellectual-property rights or transmit unlawful, harmful, deceptive or abusive content.
  • Attempt to gain unauthorized access to the Service, other accounts, or our systems.
  • Reverse engineer, resell, or overload the Service or circumvent usage limits.
  • Use the Service in any way that could damage, disable or impair it or interfere with others' use.

5. Customer data & ownership

As between you and us, you own the data you import or generate in your workspace, including your leads, contacts and message content (“Customer Data”). You grant us a limited license to host, process and transmit Customer Data solely to provide and improve the Service. You are responsible for having the necessary rights and consents to collect and message your contacts. Our handling of personal data is described in our Privacy Policy.

6. Billing & payment

  • Free trial or buy now. You can start a 15-day free trial or purchase a plan immediately. During a trial you may use the Service without paying the plan price; your plan is charged automatically when the trial ends unless you cancel first.
  • Card-verification mandate. To activate billing we may place a nominal card-verification charge to set up a payment mandate. This verifies your payment method and is not a charge for the Service itself.
  • Monthly or annual plans. Paid plans are billed in advance on the cycle you choose — monthly or annual — and renew automatically until cancelled. Plan prices are shown at checkout and in your billing settings.
  • Pay-as-you-go usage.Certain usage — such as messaging volume above your plan’s included allowance — is billed as metered, pay-as-you-go charges in addition to your monthly plan fee.
  • Taxes. Fees are exclusive of applicable taxes, which you are responsible for paying.
  • Non-refundable. Except where required by law, fees are non-refundable, and we do not provide refunds or credits for partial months, unused time, or downgrades that take effect mid-cycle. If you cancel, you retain access until the end of the current paid period.
  • Late or failed payment. If a payment fails or a mandate lapses, we may suspend or limit your access until the balance is settled.

7. WhatsApp & Meta policy compliance

Your use of WhatsApp features through the Service is also subject to Meta’s and WhatsApp’s terms, the WhatsApp Business Messaging Policy and Commerce Policy, and applicable messaging laws. You are responsible for:

  • Obtaining valid opt-in consent before messaging your contacts and honoring opt-outs.
  • Using approved message templates and respecting messaging windows and rate limits.
  • Ensuring your content and use case comply with Meta's and WhatsApp's policies at all times.

Violations may lead to restrictions imposed by Meta on your WhatsApp account, for which we are not responsible, and may result in suspension of the relevant features under these Terms.

8. Third-party services

The Service integrates third-party providers — including Meta / WhatsApp, Razorpay, Resend, and AI providers such as DeepSeek. Your use of those integrations may be subject to the third parties’ own terms, and we are not responsible for their acts, omissions, or availability.

9. Disclaimer of warranties

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that AI- generated replies will be accurate or suitable for any purpose.

10. Limitation of liability

To the maximum extent permitted by law, 1Chime will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or goodwill. Our total aggregate liability arising out of or relating to the Service will not exceed the amounts you paid to us for the Service in the three (3) months preceding the event giving rise to the claim.

11. Termination

You may cancel your subscription or close your account at any time from your billing settings or by contacting us. We may suspend or terminate your access if you breach these Terms, fail to pay, or use the Service in a way that creates risk or legal exposure. On termination, your right to use the Service ends; you may export your Customer Data for a reasonable period before it is deleted in accordance with our Privacy Policy.

12. Governing law

These Terms are governed by the laws of India, without regard to its conflict-of-laws rules. Subject to any mandatory local law, the courts located in India will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service.

13. Changes to these terms

We may update these Terms from time to time. When we make material changes we will update the “Last updated” date above and, where appropriate, notify you in-app or by email. Your continued use of the Service after a change takes effect constitutes acceptance of the updated Terms.
